Legal structure: Choosing the right legal structure

Choosing a legal structure is an important decision to make only after careful consideration. Here is an explanation.

An entrepreneur must decide whether he or she would like a structure related to persons, such as sole proprietorship, simple or general partnership, or a structure related to capital, such as the corporation (SA) or limited liability company (SARL). He or she can also opt for an association or cooperative company.

When making your decision, you should consider the following:

  • Capital
  • Risk and liability
  • Level of independence
  • Taxes
  • Social security
